These Terms & Conditions (“Terms”) govern the use of products, software, solutions, and services (“Services”) provided by Metier Genesis Tech Pvt Ltd (“Metier Genesis,” “we,” “our,” or “us”). By engaging with our Services, the Client (“you” or “your”) agrees to comply with the following:
1. Services
- Metier Genesis will deliver Services as described in the signed Agreement, Proposal, or Scope of Work.
- Service enhancements or modifications may be introduced to improve quality and performance.
- Additional services beyond the Agreement require separate approval and may involve additional costs.
2. Client Obligations
- Provide timely cooperation, accurate information, and required access for successful delivery.
- Maintain your own systems and secure connectivity unless otherwise agreed in writing.
- Do not misuse, copy, or redistribute our proprietary platforms, software, or intellectual property.
3. Fees & Payments
- Fees are defined in the Agreement or official quotation.
- Payments must be made in the agreed currency and within invoice due dates.
- Fees are exclusive of applicable taxes unless specified.
- Late payments may result in suspension of Services and interest charges.
4. Confidentiality
- Both parties agree to maintain confidentiality of business, technical, and customer information.
- Disclosure to third parties is only allowed as required by law or with written consent.
5. Intellectual Property
- All rights and IP of Metier Genesis’ platforms and methodologies remain with Metier Genesis.
- Clients retain ownership of their data, content, and brand assets.
- Clients are granted a limited, non-transferable right to use Services solely during the Agreement term.
6. Termination
- Either party may terminate with written notice if a material breach is not resolved within the notice period.
- Metier Genesis may suspend or terminate Services for non-payment or misuse.
- Pre-paid amounts are non-refundable unless stated in the Agreement.
7. Limitation of Liability
- Services are provided “as-is” without guarantees of uninterrupted performance.
- Metier Genesis is not liable for indirect or consequential losses including lost revenue or data.
- Direct liability is limited to fees paid by the Client in the last six (6) months.
8. Governing Law & Dispute Resolution
- These Terms are governed by the laws of India.
- Disputes shall follow arbitration under the Arbitration and Conciliation Act, 1996.
- Place of arbitration: Chandigarh, India (or another agreed jurisdiction).
9. General Provisions
- These Terms and the Agreement form the entire understanding between both parties.
- Neither party may assign rights without consent, except in mergers/acquisitions.
- If any provision is invalid, the rest remain effective.
